Agreement to Terms

Socialware asbl, provides access and use of this site ("Site") subject to your agreement to the following "Terms of Use" (the "Terms"). Please read these Terms carefully before accessing or using the Site. By accessing or using the Site, you agree to be bound by these Terms. The Terms, as well as the Site (and information contained within the Site) may be updated or revised from time to time without notice to you. You agree to periodically review these Terms, and your continued access to or use of the Site shall constitute your acceptance of the updated or revised Terms.

1 General Terms and Conditions

1.1 Contact Information

If asked to provide your email address during your use of the site, please provide an accurate and complete email address.

1.2 Use of Information and Services

Third parties may provide certain information displayed on the Site. Although SOCIALware asbl believes that such information comes from trustworthy sources, the third-party information is not necessarily sponsored, endorsed, recommended, or licensed by SOCIALware asbl. You should directly contact the third parties and/or their references for the most accurate information. When you register as an individual or as an organization or when you order products from SOCIALware asbl Stock through a secure browser, information transmitted to us will be governed by our privacy policy.

1.3 Advice

Neither SOCIALware asbl nor its information sources or users are engaged in giving legal, counseling, or other professional services or advice in this Site.

1.4 No Liability

Under no circumstances will SOCIALware asbl be liable for any consequence relating directly or indirectly to any action or inaction you take based on the information, services, or other material on the Site. While SOCIALware asbl will attempt to keep its Site current, accurate, and complete, SOCIALware asbl and its suppliers cannot guarantee, and will not be responsible for, any damage or loss related to, the timeliness, accuracy, or completeness of the information, services, or other material on the Site, regardless of its source including, but not limited to, material we write or produce, material we contract to be written or produced, material we link to, and comments written by users.

1.5 Site Conduct

1.6 Removal of Content

SOCIALware asbl does not do a prior review of Content posted by any party other than SOCIALware asbl and has no responsibility for Content posted by any party other than SOCIALware asbl to the Site. Message boards, "chat rooms," and/or other information-sharing locations on the Site may contain the opinions and views of other users. SOCIALware asbl is not responsible for the accuracy of any messages or postings on the Site. If you believe that any Content posted on the Site is infringing or illegal, please contact SOCIALware asbl immediately. SOCIALware asbl reserves the right in its sole discretion to delete or leave unchanged any Content submitted to or appearing on the Site.

1.7 Submission of Content

If you submit Content to the Site, you grant to SOCIALware asbl, or warrant that the owner of such Content has expressly granted to SOCIALware asbl, a world-wide, royalty-free, perpetual, irrevocable, transferable, non-exclusive and fully sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such Content (in whole or part) and/or to incorporate such Content in other works in any form, media, or technology now known or later developed.

1.8 Internet Links

The Site may provide, or third parties may provide, links to other Internet sites. SOCIALware asbl has no control over such sites; SOCIALware asbl does not endorse, and is not responsible for, any such sites or the information, material, products or services contained on or accessible through those sites. You acknowledge that SOCIALware asbl shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance upon any such information, material, products, or services.

1.9 Third Parties

Your correspondence or business transactions with, or participation in promotions of, third parties found on, or e-commerce through, the Site and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such third party. You agree that SOCIALware asbl shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such transactions or as the result of the presence of such third parties on the Site.

1.10 Indemnification

You agree to indemnify, defend and hold harmless SOCIALware asbl, its affiliates, governing board, officers, agents, employees, partners, and suppliers from any liability, loss, claim, demand, and expense (including reasonable attorneys' fees) related to (a) your use of the Site; (b) your violation of these Terms; or (c) your posting of Content to the Site.

1.11 Modifications to Site

SOCIALware asbl reserves the right to, from time to time, discontinue, temporarily or permanently, the information, services, products, and/or other Content on the Site with or without notice.

1.12 Use and Storage of Content on the Site

SOCIALware asbl may establish general practices and limits concerning the use of the Site, including without limitation, the maximum number of days that Content will be available on, or retained by, the Site. SOCIALware asbl, in its sole discretion, reserves the right to change these general practices and limits at any time.

1.13 Ownership of Content

All information on the Site, as well as the organization and layout of the site, other than Content posted by you, is owned and copyrighted by SOCIALware asbl or its suppliers or other Site users. Except as expressly authorized by SOCIALware asbl, you may not copy, distribute, resell, display, sublicense or create derivative works based on any such information from the Site, in whole or in part.

1.14 Disclaimer of Warranty

You expressly understand and agree that this site, and all information and content on the site, is provided on an "as is" and "as available" basis. SOCIALware asbl and its information suppliers disclaim all express and implied warranties with regard to the site and all information, services, and materials contained on the site, including without limitation any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.SOCIALware asbl makes no warranty that: (a) the site will meet your requirements or that the results that may be obtained from the site will be satisfactory; (b) the site will be uninterrupted, timely, secure, or error-free; (c) the quality of any products, services, information, or other material purchased or obtained by you through the site will meet your expectations, and; (d) any errors in the site will be corrected. No advice or information, whether oral or written, obtained by you from SOCIALware asbl or through the site shall create any warranty not expressly stated in the terms.

1.15 Limitation of Liability

In no event shall SOCIALware asbl or its affiliates, governing board, officers, agents, employees, partners or suppliers be liable for any special, indirect, punitive, incidental, exemplary or consequential damages, or any damages whatsoever resulting from loss of use, business, data or profits, litigation and the like, whether based on breach of contract, tort (including negligence), product liability or otherwise, even if advised of the possibility of such damages. With respect to goods or services purchased directly from SOCIALware asbl through the site, SOCIALware asbl’s liability, in any case, is expressly limited to replacement of defective goods, or, at SOCIALware asbl's election, to the repayment or crediting to you of an amount equal to the purchase price of the goods. You acknowledge and agree that the limitations set forth above are fundamental elements of these terms of use and the site would not be provided to you absent such limitations. If any jurisdictions do not allow the foregoing limitations of liability, the foregoing limitations may not apply to you.

1.16 Termination

SOCIALware asbl may, in its sole discretion, with or without notice, suspend or terminate your use of this Site, and remove and discard any Content on the Site, for any reason, including, without limitation if you violate these Terms or the Community Standards. SOCIALware asbl may also bar you from any future access to the Site. SOCIALware asbl will not be liable to you for any such suspension, termination or prohibition on future access.Should you object to any subsequent modifications of the terms and conditions of these Terms, your sole recourse will be to immediately notify SOCIALware asbl of your termination of these Terms, which termination will be effective immediately. To the extent permitted by applicable law, the terms and conditions of these Terms will survive any termination of these Terms.

Any notices to you by SOCIALware asbl may be made by either email or regular mail.

1.18 General Provisions

These Terms constitute the entire agreement between you and SOCIALware asbl and govern your use of the Site, superseding any prior agreements between you and SOCIALware asbl regarding the Site (including, but not limited to, any prior versions of these Terms).These Terms and the resolution of any dispute related to these Terms or the Site shall be governed by and construed in accordance with the Belgian laws, without giving effect to any principles of conflicts of law. SOCIALware asbl's failure to insist upon strict enforcement of any provision of these Terms shall not be construed as a waiver of any provision or right. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will be enforced in accordance with their terms. The section headings in these Terms are for convenience only and have no legal or contractual effect.Regardless of any statute or law to the contrary, you hereby waive your right to bring any claim against SOCIALware asbl more than 1 year after such claim first arose.

1.19 Arbitration

Any controversy or claim arising out of or relating to these terms and for which no agreement is reached between the parties will be settled in the Nivelles Court of Justice.

2 Donation services conditions

2.1 Administrative fee

Administrative fees are charged for supporting the operation of the program and facilitate access to donation programs.They have to be paid before the donation request is processed.

2.2 Donated products

Donated products are not covered by any form of guarantee by SOCIALware asbl. They are generally covered by a Partner Donor guarantee.Delivery is generally dependant or ensure by Partner Donors and SOCIALware cannot be held responsible for any delay in delivery of the donated products, nor in case of cancellation by the Partner Donor.

2.3 Returns Process

Returns of donated products returns are subject to rules and practices specific to each Partner Donor. They are described in the respective sections concerning these Partner Donors.

3 Privacy Policy

At times, we will collect certain personal information about customers and visitors to websites hosted by us. Such information will include both identifiable personal data, as well as non-identifiable personal information. Identifiable personal information will be collected when you sign a contract for service with us, or use our website for a transaction or subscription service. Non-identifiable information is gathered automatically when you visit our website or those websites hosted by us. It is stored for use in our system. The purpose of this chapter is to explain to customers what types of information we will collect and how that information is used. In most cases, we collect this information to ensure network integrity and that we continue to provide you with the most relevant content and best possible service that suits your needs. In some cases, we are required by law to collect personal information about customers. Except where the law requires otherwise, we undertake to protect the confidentiality of such data.

3.1 Confidentiality

We respect customer privacy and the privacy of those accessing our website, or those websites hosted by us. We undertake to protect the confidentiality of our customers and users including all personal information supplied in the course of contracting with us for services. We undertake not to sell your personal information to third parties for commercial or marketing purposes.

3.2 Collection of Personal Data

We collect personal data about our users when you visit a website hosted by us; apply for a service subscription; respond to a customer questionnaire; and through the use of cookie technology. We may also combine information about you that we have with information we obtain from our business partners or affiliates.

3.3 Use of Personal Data

We may, on occasion, use your personal information to contact you about promotional offers; advise you of matters relevant to service provision and, in some cases, solicit your feedback. However, we will provide you with an option within every communication to opt out of receiving any communications of this nature. You can also contact our customer services representative to ensure that you do not receive such promotional information. 3.4 Public Space

Any information that customers disclose in a public space, including on any bulletin board, chat room or any site we may host for you, is available to anyone else who visits that space. We cannot safeguard any information you disclose there.

3.5 Site Linking

Our web portal may contain many links to sites that belong to third parties unrelated to us. We cannot be held responsible for any use of your personal information arising from you disclosing personal such information on third party sites. We cannot protect any information you may disclose on these sites and we recommend that you review the privacy policy statements of those sites you visit.

3.6 Minors

We will not enter into a service subscription contract with a minor. We undertake not to contact minors about promotional offers or for marketing purposes without a parental consent.

3.7 Reservation of Rights

We reserve the right to disclose information about customers where required in good faith, to do so by law or to exercise our legal rights or defend ourselves against legal claims.
We further reserve the right to share information with law enforcement to investigate or prevent illegal activities being committed over our network.
We reserve our rights to disclose your personal information where you have given us explicit legal written consent to do so.
We reserve the right to monitor user and network traffic for site security purposes and prevent any unauthorized attempts to tamper with our site or cause damage to our property.
We reserve the right to make changes to this privacy policy or update it. Where a major change is made, customers will be informed by e-mail notification or through a notice on our website. Customers and site visitors bear the responsibility to ensure that they have read the changes or updates as the case may be.
